1. Agreement to Terms

Welcome to Visionary Matrix Tech Solutions Private Limited. By accessing our website (www.visionarymatrix.com) or using our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these terms, please do not use our services.

• Product Management: End-to-end product development and management

Service specifications, deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work.

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate, current, and complete information during registration and service engagement
• Maintain the security of your account credentials and accept responsibility for all activities under your account
• Use our services only for lawful purposes and in accordance with these Terms
• Not engage in any activity that interferes with or disrupts our services
• Not attempt to gain unauthorized access to our systems or networks
• Respect intellectual property rights of the Company and third parties
• Provide necessary resources, information, and timely feedback for project completion
• Comply with all applicable laws and regulations in your use of our services

4. Intellectual Property Rights

4.1 Company Property: All content, features, and functionality on our website, including but not limited to text, graphics, logos, images, and software, are the exclusive property of Visionary Matrix Tech Solutions and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Materials: You retain ownership of any materials, content, or information you provide to us ("Client Materials"). By providing Client Materials, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify such materials solely for the purpose of providing our services.

4.3 Deliverables: Upon full payment, you will own the final deliverables as specified in the service agreement. We retain the right to showcase completed projects in our portfolio unless otherwise agreed in writing.

4.4 Pre-existing IP: Any pre-existing intellectual property, tools, frameworks, or methodologies used by us remain our property.

5. Payment Terms

5.1 Pricing: Service fees will be outlined in individual project proposals or service agreements. All prices are in Indian Rupees (INR) unless otherwise specified.

5.2 Payment Schedule: Payment terms will be specified in the service agreement and may include:

• Upfront deposit (typically 30-50% of total project cost)
• Milestone-based payments
• Final payment upon project completion

5.3 Late Payments: Late payments may incur a fee of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend services for overdue accounts.

5.4 Taxes: All fees are exclusive of applicable taxes (GST, VAT, etc.), which will be added to invoices as required by law.

6. Project Timeline and Deliverables

6.1 Timelines: Project timelines are estimates and may be subject to change based on project scope, client feedback, and unforeseen circumstances.

6.2 Client Delays: Delays caused by client actions (late feedback, missing materials, approval delays) may result in project timeline extensions and potential additional costs.

6.3 Deliverable Acceptance: Clients have 7 business days to review and provide feedback on deliverables. Silence after this period will be deemed acceptance.

7. Revisions and Change Requests

7.1 Included Revisions: Each project includes a specified number of revision rounds as outlined in the service agreement.

7.2 Additional Revisions: Revisions beyond the agreed scope may incur additional charges.

7.3 Scope Changes: Significant changes to project scope will require a written change order and may affect timeline and costs.

8. Confidentiality

Both parties agree to maintain confidentiality of sensitive information disclosed during the course of our engagement. This includes:

• Business strategies and plans
• Technical information and proprietary data
• Financial information
• Customer and user data

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

9. Warranties and Disclaimers

9.1 Service Warranty: We warrant that our services will be performed in a professional manner consistent with industry standards.

9.2 No Guarantees: While we strive for excellence, we do not guarantee specific results, including but not limited to website traffic, search engine rankings, or business outcomes.

9.3 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.4 Third-Party Services: We are not responsible for the performance, security, or availability of third-party services, platforms, or tools integrated into your project.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIONARY MATRIX TECH SOLUTIONS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or delays
• Errors or omissions in content

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

11. Termination

11.1 Termination by Client: You may terminate our services by providing 15 days written notice. You will be responsible for payment for all work completed up to the termination date.

11.2 Termination by Company: We may terminate services if:

• You breach these Terms or fail to make payments
• You engage in conduct that is harmful to our business or reputation
• Continuing the relationship is not feasible

11.3 Effect of Termination: Upon termination, you must pay all outstanding fees. We will deliver all completed work and return your materials.

12. Indemnification

You agree to indemnify, defend, and hold harmless Visionary Matrix Tech Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of third parties
• Content or materials you provide to us

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or government actions.

14. Dispute Resolution

14.1 Negotiation: In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation.

14.2 Mediation: If negotiation fails, parties agree to attempt mediation before pursuing legal action.

14.3 Jurisdiction: These Terms shall be governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.

15. General Provisions

15.1 Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between you and Visionary Matrix Tech Solutions.

15.2 Amendments: We reserve the right to modify these Terms at any time. We will notify you of material changes via email or website notice. Continued use of our services after changes constitutes acceptance.

15.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
